Agreement between Vegno and Sentient Solutions Inc.

SUPPLY AGREEMENT

This Agreement ("the Agreement") is entered into as of 1722.15.I AN, between the government of Vegno, represented by President Visciglia, Prime Minister Greco, and Minister of Health Poggi, collectively referred to as "Vegno," and Sentient Solutions Inc., a corporation duly incorporated and existing under the laws of Vegno, with its principal place of business at Via della Pallacorda 32 (Taurasi), hereinafter referred to as "Sentient Solutions."'

The purpose of this Agreement is to establish a collaborative partnership between Vegno and Sentient Solutions for the procurement and deployment of AI-powered products and solutions in the healthcare sector. This partnership aims to enhance patient care, improve medical services, and promote innovation in the field of healthcare technology.

Scope of Collaboration

Vegno and Sentient Solutions will work together to identify and implement AI-powered solutions within Vegno's national hospitals. Sentient Solutions will provide state-of-the-art AI technology, including robots and equipment, to assist patients and medical professionals in various healthcare facilities.

Roles and Responsibilities:

1. Vegno shall facilitate the introduction and deployment of Sentient Solutions' AI products within designated national hospitals, ensuring seamless integration and user-friendly interfaces.
2. Sentient Solutions shall supply and install the AI-powered products, along with necessary training and technical support for medical staff, ensuring the smooth operation of the technology.
3. Both parties shall collaborate to assess and address any specific needs of patients and medical facilities, tailoring the AI solutions accordingly.

Data Privacy and Security:

Vegno and Sentient Solutions acknowledge the importance of data privacy and security. Both parties agree to adhere to the strictest data protection standards, ensuring that patient information and sensitive data are handled in compliance with Vegno's laws and regulations.

Term and Termination:

This Agreement shall commence on the date of execution and remain in effect for a period of five (5) years, subject to extension upon mutual agreement. Either party may terminate this Agreement with a prior written notice of sixty (60) days.

Intellectual Property:

All intellectual property rights related to the AI technology and products provided by Sentient Solutions shall remain the exclusive property of Sentient Solutions.

Confidentiality:

Both parties shall maintain the confidentiality of any proprietary or sensitive information shared during the course of this collaboration.

Amendments and Governing Law:

Any amendments to this Agreement shall be made in writing and duly signed by both parties. This Agreement shall be governed by the laws of Vegno.
